EzDesign End User License Agreement (EULA)

1. Parties

This Agreement is between you ("User" or "you") and Miguoduo (Shanghai) Software Co., Ltd. ("EzDesign," "we," or "us"), the developer of the EzDesign software application.

2. License Grant

Subject to your compliance with this Agreement and payment of the applicable license fee, EzDesign grants you a limited, non-exclusive, non-transferable, non-sublicensable, perpetual license to install and use one (1) copy of EzDesign on your personal or business computer(s) solely for your internal purposes.

3. Restrictions

You may not, and may not permit any third party to:

  1. Copy, reproduce, or distribute the Software, in whole or in part, except for reasonable backup purposes;
  2. Sell, resell, sublicense, rent, lease, lend, or otherwise transfer the Software or any rights therein to any third party;
  3. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
  4. Modify, adapt, translate, or create derivative works based on the Software;
  5. Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
  6. Use the Software to develop a competing product or service;
  7. Circumvent or attempt to circumvent the license verification system.

4. License Verification

The Software connects to EzDesign's servers solely to verify the validity of your license. This is the only server-side communication the Software performs. No personal data, design files, or usage data are transmitted. See our Privacy Policy for details.

5. Ownership and Intellectual Property

EzDesign and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement grants you a license to use the Software, not ownership of the Software or any copy thereof. All rights not expressly granted are reserved by EzDesign.

6. Payment and Refund

Payment. The Software is available for a one-time license fee. All fees are non-recurring unless you purchase additional licenses.

Refund. If you are not satisfied with the Software, you may request a full refund within 14 days of your original purchase date by contacting info@ezdesign.com. After 30 days, all sales are final.

7. Updates

EzDesign may, at its sole discretion, provide updates, patches, or new versions of the Software. Any updates provided are subject to this Agreement unless accompanied by a separate license agreement. EzDesign has no obligation to provide updates.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EZDESIGN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

EZDESIGN DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT WILL EZDESIGN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, EVEN IF EZDESIGN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EZDESIGN'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO EZDESIGN FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. FOR A ONE-TIME PURCHASE, THIS MEANS THE ORIGINAL PURCHASE PRICE PAID.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, EzDesign's liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless EzDesign and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Software in violation of this Agreement; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party rights.

EzDesign's indemnification obligations to you are limited to direct damages caused by EzDesign's material breach of this Agreement, subject to the liability cap in Section 9(b).

11. Term and Termination

Term. This Agreement is effective from the date you first install or use the Software and continues until terminated.

Termination for breach. EzDesign may terminate this Agreement and your license immediately, without notice, if you breach any term of this Agreement. Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession.

Effect of termination. Sections 5, 8, 9, 10, 12, and 13 survive termination.

Refund on termination. If EzDesign terminates this Agreement without cause within the 30-day refund window, you are entitled to a full refund.

12. Governing Law and Dispute Resolution

Governing law. This Agreement is governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of laws principles.

Arbitration. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time of commencement. The seat of arbitration shall be Hong Kong. The language of arbitration shall be English. The number of arbitrators shall be one (1).

Injunctive relief. Notwithstanding the above, EzDesign may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent unauthorized distribution of the Software.

13. General

Entire agreement. This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and EzDesign regarding the Software and supersedes all prior agreements.

Severability. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver. EzDesign's failure to enforce any provision does not constitute a waiver of its right to enforce that provision later.

No assignment. You may not assign or transfer this Agreement or any rights hereunder without EzDesign's prior written consent. Any purported assignment is void.
